1. Who we are and what these Terms cover
Rilke is operated from the Philippines (“Rilke”, “we”, “us” or “our”). These Terms of Service (“Terms”) are an agreement between you and Rilke and govern your use of our website at rilkelabs.com, the Rilke dashboard, your Rilke agent, and any related software and services (together, the “Service”).
By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
Our Privacy Policy explains how we collect and use personal information. It does not form part of these Terms, but it is an important document and you should read it.
If you use the Service on behalf of a company or other organization, you confirm that you have authority to bind it to these Terms, and “you” means that organization as well as you personally.
2. Your account and eligibility
Minimum age. You must be at least 18 years old, or the age of majority where you live if that is higher, to use the Service. The Service is designed for people’s work and is not directed at children.
Accurate information. You must give us accurate and complete information when you sign up and keep it up to date. We use the email address on your account to reach you about the Service.
One account, one agent. Each account has one agent. You may not share your account credentials or let anyone else use your account, and you are responsible for everything done through it.
Keep your channels secure. Your agent takes instructions from your linked messaging account (currently Telegram) as well as from the dashboard. Anyone who can use that messaging account can talk to your agent, so keep it secure and tell us at once at franco@tgifranco.com if you think either your account or your linked messaging account has been compromised.
3. The Service
Rilke gives you your own AI agent: an assistant that you talk to on Telegram, manage from a web dashboard, and that can remember the context you give it, work with files, connect to apps you authorize, and carry out tasks on a schedule you set. Which features are included depends on your plan, as described on our pricing page.
Your agent works for you, on your instructions. It acts only on what you (or someone using your account or linked messaging account) ask it to do, and on the scheduled tasks you set up. Some of that work happens when you are not present. You are responsible for the instructions you give it and the tasks you schedule.
Usage limits. Every plan includes a monthly allowance of AI usage and limits on connected apps, scheduled tasks and file storage, as shown on the pricing page and in your dashboard. When you reach a limit, your agent will tell you, and the affected feature pauses until the allowance renews or you change plan. We may also apply reasonable rate limits to keep the Service reliable for everyone.
A young service. Rilke is new and improving quickly. We may add, change or remove features, and we may occasionally take the Service down for maintenance. Where a change materially reduces what your plan gives you, we will tell you in advance where we reasonably can.
Third-party services. Parts of the Service depend on third parties: the messaging platform you use to talk to your agent, the AI models that power it, and the apps you choose to connect. Their terms apply to your use of their services, and we are not responsible for them. Section 9 has more detail.
4. Free trial
New customers may be offered a free trial of the Flow plan for 14 days. An invitation code may carry a different trial length; if so, the length is shown when you sign up. No payment method is needed to start a trial, and nothing is charged automatically when it ends.
When a trial ends without a paid subscription, your agent pauses. Everything it holds is kept as described in Section 6, so if you subscribe within that period you pick up where you left off.
Trials are for genuine new customers. We may refuse or end a trial for anyone who has had one before, or who we believe is using trials to avoid paying.
5. Plans, payment and renewal
Prices. Plans are billed monthly, in advance, at the prices on our pricing page in Philippine pesos (₱) unless another currency is shown to you when you pay. Unless we say otherwise at the point of purchase, the price you see is the price you pay, inclusive of any taxes we are required to collect. If the law where you are requires you to self-assess or withhold tax on services bought from abroad, that is your responsibility.
How you pay. We show you the payment methods available to you when you pay. Today we accept payment by GCash and confirm each payment personally; we may add other methods over time.
Renewal. If you pay through a saved payment method that supports automatic renewal, your subscription renews each month and we charge that method until you cancel. If you pay manually, your subscription runs for each period you have paid for, and your dashboard shows when the current period ends. Either way, you can cancel at any time as described in Section 6.
Changing plan. You can move to a different plan from your dashboard or by emailing us. A move to a higher plan takes effect when we confirm it; a move to a lower plan takes effect at the start of your next period.
Price changes. We may change our prices from time to time. If we increase the price of your plan we will give you at least 30 days’ notice by email or in the dashboard, and the new price applies from your next renewal, so you can cancel first if you do not agree.
Refunds. Fees are non-refundable except (a) where the law requires a refund, (b) where we discontinue the Service (Section 12), or (c) where we agree otherwise in writing. If you were charged in error, tell us and we will put it right. Nothing in this section removes rights you have under consumer protection law that cannot be waived, including under the Consumer Act of the Philippines where it applies to you.
6. Cancelling, lapses and what happens to your data
You can stop at any time. Cancel from the Settings page of your dashboard or by emailing franco@tgifranco.com. Cancelling does not end your access early: your agent keeps working until the end of the period you have already paid for, and you can undo the cancellation any time before then.
When a subscription ends or lapses, your agent pauses and stops responding. If payment is still outstanding after 3 days, we stop the agent’s server to free the capacity it was using. Paying again within the retention period below restarts it.
Your data is kept for 90 days after your subscription ends. During that time your conversations, files, memory and scheduled tasks are preserved so you can come back and pick up where you left off. After 90 days they are scheduled for deletion.
Delete sooner if you prefer. Email franco@tgifranco.com at any time and we will close your account and delete your data, subject to anything we are legally required to keep (such as billing records). Our Privacy Policy describes retention in more detail.
7. Acceptable use
You may use the Service only in compliance with these Terms and all applicable laws. You must not use the Service, or ask your agent, to:
- break the law, or help anyone else to;
- harass, threaten, defame or deceive anyone, or impersonate a person or organization;
- send unsolicited bulk messages or email (spam), or contact people who have asked not to be contacted;
- collect, process or share other people’s personal information without a lawful basis and any consent the law requires;
- create or spread malware, gain unauthorized access to any system or account, or interfere with the Service or anyone else’s use of it;
- infringe anyone’s intellectual property, privacy or other rights;
- generate sexual content involving minors, content that promotes violence or self-harm, or material designed to defraud;
- make decisions with legal or similarly significant effects on a person (such as credit, employment, housing, insurance or medical decisions) solely on the basis of your agent’s output, without human review;
- circumvent usage limits, safety mechanisms or other protective measures, or attempt to make your agent reveal, alter or ignore its configuration;
- reverse engineer, copy, resell or sublicense the Service, or use it to build a competing product or to train a competing AI model;
- automatically or programmatically extract data or output from the Service beyond what a feature is designed to provide.
Your agent is designed to decline requests that would break these rules, and we may investigate suspected misuse and suspend or terminate accounts that engage in it (Section 12).
8. Your content and your agent’s output
Definitions. “Input” is anything you provide to the Service: messages, files, notes, connected-app data and instructions. “Output” is what your agent produces in response: replies, drafts, files, images and actions. Input and Output together are “Content”.
You own your Content. As between you and Rilke, you keep all rights in your Input, and we assign to you whatever rights we may have in Output. You are responsible for your Content, including making sure you have the rights and permissions needed to provide Input and to use Output.
The licence we need to run the Service. You grant us a limited, non-exclusive licence to host, store, process, transmit and display your Content solely to provide, secure and support the Service for you and to comply with the law. We do not use your Content to train AI models, we do not sell it, and we do not use it for advertising.
Similar output. Because of how AI works, output is not unique: other customers may receive similar or identical output from their own agents. Our assignment of rights above covers your Output only, not theirs.
Accuracy. AI can be wrong, confidently. Output may be inaccurate, incomplete or out of date, and may not reflect real people, places or facts. You must evaluate Output before relying on it, use human review where the stakes warrant it, and not treat it as a substitute for professional advice from a lawyer, accountant, doctor or other qualified person.
Feedback. If you send us ideas or suggestions about the Service, we may use them without restriction or payment to you.
9. Connected accounts and third-party services
Messaging platform. You talk to your agent through a third-party messaging platform (currently Telegram). Your use of that platform is governed by its own terms and privacy policy. We receive what you send to your agent through it and nothing else from your account there.
Connected apps. You can connect third-party apps (such as calendars, documents, email and other work tools) so your agent can work with them. You authorize each connection on the provider’s own consent screen; your agent then has the access that connection permits and no more. You can disconnect an app from your dashboard at any time, and you can also revoke access in the provider’s own account settings. Your use of a connected app remains subject to that provider’s terms, and we are not responsible for it.
Your own API keys. If you give your agent an API key for a service you already use, the key is stored on our servers outside your agent, which can use the connection but never read the key. Deleting the connection revokes it immediately. You are responsible for the permissions attached to any key you provide.
AI model providers and other suppliers. Your agent is powered by AI models and infrastructure from third-party providers. We choose and contract with them; you do not deal with them directly. Section 4 of the Privacy Policy explains what they receive.
Links and results. Output may include links to, or information from, third-party websites and services. We do not control or endorse them.
10. Processing personal data on your behalf
Your agent may handle personal information about other people: your clients, colleagues, suppliers or contacts. For that information, you are the personal information controller (the party deciding why and how it is processed) and Rilke is your processor. This section is our processing agreement with you.
- Your responsibilities. You must have a lawful basis, and any consent the law requires, to give that information to your agent and to have it processed as you instruct. You must not provide sensitive personal information (such as health, government-ID or financial-account data) about others unless you are permitted to and the processing is necessary for your work.
- Our responsibilities. We process such information only to provide the Service in accordance with your instructions (which include these Terms and your use of the features), keep it confidential, protect it with the safeguards described in our Privacy Policy, and tell you without undue delay if we become aware of a personal data breach affecting it.
- Sub-processors. We use third-party service providers to run the Service, as described in our Privacy Policy, under written terms that require them to protect the information. We remain responsible to you for their work.
- Assistance and deletion. We will give you reasonable help in responding to requests from the people whose information you process, and we delete or return that information at the end of the relationship as described in Section 6, unless the law requires us to keep it.
Where the law of your country requires additional processing terms (for example, a data processing addendum under the GDPR), email franco@tgifranco.com and we will put one in place.
11. Our intellectual property
The Service, including its software, design, the Rilke name and logo and all related intellectual property, belongs to Rilke and its licensors. These Terms give you a limited, personal, non-transferable right to use the Service; they do not give you any ownership in it. You may not use our name or logo without our written permission.
Copyright complaints. If you believe content on the Service infringes your copyright, email franco@tgifranco.com with your contact details, a description of the work, where the material is on the Service, a statement that you believe in good faith the use is unauthorized, and confirmation that you are the owner or authorized to act for them. We will look into it and may remove or disable the material.
12. Suspension, termination and discontinuation
By you. You can stop using the Service and cancel at any time (Section 6).
By us. We may suspend or terminate your access, or your agent, if we reasonably determine that you have breached these Terms; that we must do so to comply with the law or a lawful order; or that your use creates risk or harm to us, to other customers or to anyone else. Where the situation allows, we will tell you why and give you a chance to fix it first. Suspension for non-payment follows Section 6.
Appeals. If you believe we suspended or terminated your account in error, email franco@tgifranco.com and we will review it.
Discontinuation. If we decide to discontinue the Service entirely, we will give you at least 30 days’ notice and refund any prepaid fees for the unused part of your subscription.
After termination, your data is handled as described in Section 6 and the Privacy Policy. Sections 8, 10, 11 and 13 to 18 survive termination.
13. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE FULLEST EXTENT PERMITTED BY LAW, WE AND OUR SUPPLIERS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, SATISFACTORY QUALITY AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, THAT OUTPUT WILL BE ACCURATE OR RELIABLE, OR THAT CONTENT WILL NOT BE LOST OR ALTERED.
You accept that any use of Output is at your own risk and that Output is not professional advice. Some jurisdictions do not allow certain warranties to be excluded, so some of the above may not apply to you.
14. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER WE NOR OUR SUPPLIERS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, USE OR DATA, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM AND (B) FIVE THOUSAND PHILIPPINE PESOS (₱5,000).
These limits do not apply to liability that cannot be limited by law, including liability for fraud, gross negligence or wilful misconduct, or to rights you have as a consumer that cannot be waived. Where the law only allows liability to be limited rather than excluded, our liability is limited to the fullest extent it allows.
15. Indemnity
If you use the Service on behalf of a company or other organization, you will defend and indemnify Rilke and its personnel against costs, losses, liabilities and expenses (including reasonable legal fees) arising from third-party claims relating to your Content, your use of the Service, or your breach of these Terms or applicable law. If you use the Service as an individual consumer, this section applies only to the extent permitted by the law where you live.
16. Governing law and disputes
Talk to us first. If you have a problem with the Service, email franco@tgifranco.com and we will try to resolve it with you. Before either of us starts formal proceedings, we both agree to try in good faith to settle the dispute informally for at least 30 days from the date one of us tells the other about it in writing.
Governing law. These Terms, and any dispute arising out of or relating to them or the Service, are governed by the laws of the Republic of the Philippines, without regard to its conflict-of-laws rules.
Courts. Subject to the paragraph below, any dispute that cannot be settled informally will be brought exclusively in the competent courts of the Philippines, and you and we submit to their jurisdiction.
Your local rights. If you are a consumer, nothing in this section takes away protections you have under the mandatory consumer laws of the country where you live, or your right to bring a claim before your local consumer authority or courts where that law gives you one. In the Philippines, consumers may also raise complaints with the Department of Trade and Industry, and privacy concerns with the National Privacy Commission.
Urgent relief. Either of us may seek injunctive or other urgent relief in any competent court to stop unauthorized use of the Service or infringement of intellectual property.
17. Changes to these Terms
We may update these Terms from time to time, for example to reflect changes in the law, in the Service or in how we operate. If a change materially reduces your rights or increases your obligations, we will give you at least 30 days’ notice by email or in the dashboard before it takes effect. Other changes take effect when we post them here, with the “Last updated” date above. If you do not agree to a change, stop using the Service and cancel before it takes effect; continuing to use the Service after that date means you accept the updated Terms. A dispute is governed by the version of the Terms in force when it arose.
18. General
- Entire agreement. These Terms, together with the documents they refer to, are the entire agreement between you and Rilke about the Service and replace any earlier agreements or understandings.
- Severability. If any part of these Terms is found unenforceable, it will be enforced to the maximum extent permitted and the rest will remain in effect.
- No waiver. If we do not enforce a provision, that is not a waiver of our right to enforce it later.
- Assignment. You may not transfer your rights or obligations under these Terms without our written consent. We may transfer ours to a successor or affiliate that takes over the Service, and will tell you if we do.
- Events beyond our control. We are not liable for delay or failure caused by events outside our reasonable control, such as outages at our suppliers, internet failures, natural disasters or government action.
- Notices. We send notices to the email address on your account. You send notices to us at franco@tgifranco.com.
- Language. These Terms are written in English. If we provide a translation, the English version governs.
- Relationship. Nothing in these Terms creates a partnership, employment or agency relationship between you and Rilke.
